12. MODIFICATIONS TO SERVICES

We reserve the right to withdraw or amend the Site and any service or material we provide on the Site, in our sole discretion, without notice. We will not be liable if, for any reason, all or any part of the Site is unavailable at any time or for any period.

13. GOVERNING LAW AND JURISDICTION

These Terms and your use of the Site shall be governed by and construed in accordance with the laws of the State of Iowa, without regard to its conflict of law provisions.

Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Polk County, Iowa, and you hereby irrevocably consent to personal jurisdiction and venue in such courts.

14. DISPUTE RESOLUTION

Any dispute arising out of or relating to these Terms or the Site shall first be attempted to be resolved through good faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue binding arbitration in accordance with the rules of the American Arbitration Association in Des Moines, Iowa.

15. WAIVER AND SEVERABILITY

No waiver by ET Capital Partners of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

16. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy and any other legal notices published on this Site, constitute the entire agreement between you and ET Capital Partners concerning the Site and supersede all prior or contemporaneous communications and proposals, whether oral or written, between you and ET Capital Partners.
