 General Provisions

  1. Scope of Agreement: These terms and conditions (as amended by ET Capital from time to time, hereinafter referred to as the "Terms") govern your access to and use of this website portal (the "Site"), including all information, materials, and functions contained therein. These Terms constitute a legal agreement between ET Capital Partners LLC, its affiliates (collectively referred to as “ET Capital,” “we,” or “our”), and you, the individual or entity accessing this Site (including investors and prospective investors) and anyone authorized to access the Site on your behalf (collectively, “you”). These Terms represent the entire understanding between you and ET Capital concerning the Site, except that nothing herein intends to supersede or abrogate any provision in an Offering’s governing documents, relevant subscription documents, or any specific terms attached to materials available on the Site. These Terms do not govern the terms of any investment you may pursue or the broader relationship with ET Capital, beyond usage of the Site.

  2. Compromise or Loss of Credentials: You are responsible for ensuring the security and confidentiality of your login credentials and must not share them with others. You agree to immediately notify ET Capital at info@etcapitalpartners.com if your login credentials are compromised. You accept full responsibility for any uses made under your login credentials. ET Capital reserves the right to suspend or revoke your access and usage of the Site at its sole discretion and without notice.

  3. Privacy: Information about how ET Capital processes your personal information in connection with the Site can be found in our Privacy Notice, which is incorporated into and forms a part of these Terms.

 Intellectual Property Rights and License

  1.  ET Capital retains all intellectual property rights and proprietary rights in and to the Site, including any upgrades or modifications. The Site is protected by copyright, patent, and trademark laws as well as international conventions. Subject to your compliance with these Terms, ET Capital grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Site solely for private, non-commercial informational purposes, with printing rights limited to pages accessed for that purpose.

  2. You shall not, nor shall you permit any third party to: (i) modify, copy, translate, create derivative works of, or otherwise exploit the Site; (ii) disrupt or interfere with any features that govern access to the Site; (iii) build products or services using elements from the Site; (iv) sublicense, resell, or lease the Site; (v) reverse engineer or attempt to access the underlying code of the Site; (vi) or otherwise misuse the Site except as expressly permitted in these Terms.

 No Offer of Securities

  1.  Accessing the Site does not constitute an offer to sell or a solicitation of an offer to buy any investment interests sponsored or offered by ET Capital (each, an “Offering”). Any such offer or solicitation will be made solely by means of a Confidential Offering Memorandum for each Offering, only in jurisdictions where such offers are lawful, and to individuals meeting the suitability and sophistication criteria under applicable laws, including the qualifications for accredited investors under the Securities Act of 1933, as amended. Access to Offering information is similarly restricted to individuals meeting the appropriate criteria and is subject to the restrictions in the Confidential Offering Memorandum.

  1.  The Site may include third-party services and content (“Third Party Content”) which has not been prepared or edited by ET Capital.
